Terms of Service

1. Acceptance of Terms

By accessing or using CellarAged ("Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this Service. These terms apply to all visitors, users, and others who access the Service.

2. Age Requirement

CellarAged is a wine collection management service. By creating an account, you represent and warrant that you are of legal drinking age in your jurisdiction (21 years or older in the United States, 18 years or older in most other jurisdictions). We reserve the right to terminate accounts if we believe this representation is false.

3. Account Registration

You must register an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@cellaraged.com of any unauthorized use of your account.

4. Subscription and Billing

CellarAged offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis.
• Your subscription will automatically renew unless you cancel before the renewal date.
• You authorize us to charge your payment method on a recurring basis.
• All fees are non-refundable except as expressly set forth in our 14-day refund policy.
• We reserve the right to change subscription fees with 30 days advance notice.
• Downgrading your plan may result in loss of access to certain features.

5. Refund Policy

Paid subscriptions include a 14-day money-back guarantee from the date of initial purchase. After 14 days, no refunds are issued for partial billing periods. To request a refund within the eligible period, contact hello@cellaraged.com. Annual subscriptions cancelled after 14 days will not receive a prorated refund but will retain access until the end of the paid period.

6. Your Data

You retain full ownership of all data you input into CellarAged, including your wine collection data, tasting notes, and any other content you create. We do not claim any ownership rights to your data. You grant us a limited license to store, process, and display your data solely to provide the Service. You may export or delete your data at any time.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service.
• Transmit any malicious code, viruses, or disruptive content.
• Use the AI Sommelier feature to generate content that violates applicable laws.
• Resell, sublicense, or commercially exploit the Service without written consent.
• Reverse engineer or attempt to extract the source code of the Service.

8. AI Features Disclaimer

The AI Sommelier feature provides suggestions and recommendations for informational purposes only. CellarAged does not guarantee the accuracy of AI-generated wine recommendations, valuations, aging predictions, or food pairing suggestions. AI outputs should not be relied upon as professional advice. Wine investment decisions should be made with appropriate professional guidance.

9. Valuations Disclaimer

Wine valuations and price estimates provided by CellarAged are approximate and for informational purposes only. They are based on available market data and should not be used for insurance, estate, tax, or financial planning purposes without independent professional appraisal. CellarAged makes no representations about the accuracy or completeness of valuation data.

10. Limitation of Liability

To the maximum extent permitted by law, CellarAged and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use the Service. CellarAged's total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless CellarAged and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service at any time with reasonable notice. In the event of discontinuation, we will provide data export capabilities for a minimum of 30 days.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by email and/or prominent notice within the Service at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
